Investor Qualification Questionnaire and Agreement

I. Investor Type
The information contained in this Investor Qualification Questionnaire and agreement is being furnished by you in connection with determining whether you will be provided information about Everest Capital and its strategies and/or granted access to certain password-protected areas of the website of Everest Capital.
Individuals who own $5 million or more in investments (including those held jointly with a spouse);
Institutional investors who own $25 million or more in investments;
A family owned company that owns $5 million or more in investments;
For trusts with less than $25 million, a trust where the trustee and each person who contributes assets to the trust is a Qualified Purchaser;
Qualified Institutional Buyer under Rule 144A of the ‘33 Act, except that "dealers" under Rule 144 must meet the $25 million standard of the 1940 Act, rather than the $10 million standard of Rule 144A.
A company owned beneficially only by Qualified Purchasers

I, or the entity I represent, have a net worth, including vested pension or profit sharing plan investments but excluding my principal residence, home furnishings and automobiles (including joint net worth with my spouse) of:

  1. The information set forth above is accurate and complete as of the date hereof, and I will promptly notify Everest Capital of any material change in such information. I hereby consent to the disclosure of any such information, and any other information furnished to Everest Capital, to any governmental authority, self-regulatory organization, or to the extent required by law, to any other person.
  2. I agree that my rights and interests in gaining access to the information posted in the Everest Capital website are not transferable or assignable.
  3. Upon receipt of a written request from Everest Capital, I shall provide such information and execute and deliver such documents as Everest Capital may deem reasonably necessary to comply with any and all laws and ordinances to which Everest Capital is or may be subject.

  5. I acknowledge that in order to make an investment in an investment fund managed by Everest Capital, I am a qualified purchaser and will be required to comply with the fund's investment requirements.
  6. This Agreement shall be governed by, and construed in accordance with, the laws of the State of New York.
  7. I agree to notify Everest Capital of any change with respect to the foregoing information and to provide such further information as Everest Capital may reasonably require.
  8. I accept and agree that I may not invest in funds posted on Everest Capital’s website for at least 30 days after I have received a password from Everest Capital.
